Scope of the Site

aidolverselabs.com is the institutional and commercial website of Aidolverse Labs, a brand operated by Aidolverse LLC, with the purpose of: presenting the studio, its services, and related products; allowing users to contact Aidolverse Labs; collecting requests for information or collaboration; and, where applicable, linking to products, registers, or external platforms.

The site does not, in itself, constitute a marketplace, a fund-deposit platform, or an automatic subscription interface for professional services, unless expressly indicated on specific future pages.

Eligibility

The site is intended primarily for business users, professionals, founders, teams, creators, brands, and parties interested in software services or digital products. If you use the site on behalf of a company or organization, you represent that you have the authority to bind it.

Site Content

Aidolverse Labs aims to keep the site reasonably up to date and accurate but does not guarantee that all content is complete, error-free, or always updated in real time. Site content is provided for general informational and commercial purposes and does not constitute personalized legal, technical, tax, or professional advice.

Contact Requests and Quotes

The site allows you to submit contact or project requests. Submitting a request does not constitute automatic acceptance of an engagement, conclusion of a contract, obligation to respond positively, or a right to receive a proposal.

Aidolverse Labs may freely decide whether to take on a request, propose an introductory call, formulate a quote, or request further information.

You agree not to submit through the site any unlawful, defamatory, misleading, or harmful content, third-party confidential information without authorization, or personal data exceeding what is necessary for the request.

Professional Engagements and Governing Documents

Every professional engagement, custom development, consulting activity, implementation, maintenance, or license relating to Aidolverse Labs services is governed by the applicable contractual document, which may consist of: a proposal/quote; a statement of work; a master services agreement; an accepted written purchase order; or a framework or individual agreement.

In the event of a conflict between these Terms and a specific contract signed between Aidolverse LLC and the Client, the specific contract prevails.

Services

Unless otherwise agreed in writing, Aidolverse Labs services may include, by way of example: websites, landing pages, e-commerce, MVPs; web apps, SaaS platforms, dashboards, and custom tools; AI integrations, automation, internal tools, and software modernization; and proprietary or connected digital products.

The actual details of scope, timing, deliverables, ownership, post-launch support, SLAs, maintenance, change requests, and acceptance criteria will be defined in the applicable contractual documents.

Pricing, Invoicing, Payments, and Refunds

The site does not publish binding standard price lists for custom services. Unless otherwise provided by contract, fees are defined in the commercial proposal or applicable contract.

As a rule: custom services are invoiced according to terms agreed in writing; an upfront amount may be required, as well as milestone, progress, or delivery payments; the Client must pay amounts within the terms indicated in the invoice or contract; and payment delays may suspend activities, deliveries, licenses, or access.

Refunds: unless mandatory applicable law or a written agreement provides otherwise, professional work already performed, hours already allocated, milestones already reached, and out-of-pocket expenses already incurred are non-refundable. Any refunds are evaluated case by case based on contractual documentation.

Intellectual Property of the Site

The site, its structure, design, text, the "Aidolverse Labs" branding, logos, graphics, interfaces, know-how, and all other site content, unless otherwise indicated, are protected by applicable intellectual property law and remain the property of Aidolverse LLC or their respective rights holders.

Except as expressly permitted by law, it is prohibited to copy, reproduce, distribute, modify, decompile, systematically extract data, or use the site for scraping, unauthorized training, reverse engineering, or unfair competition.

Intellectual Property of Deliverables and Code

For custom projects, ownership of code, deliverables, documentation, design materials, assets, reusable components, internal libraries, templates, and know-how will be defined in the applicable contract or proposal.

Unless otherwise agreed in writing: Aidolverse LLC retains ownership of pre-existing tools, internal frameworks, reusable modules, methodologies, prompt libraries, pipelines, templates, and general know-how; the Client obtains the rights expressly provided in the contract and, as a rule, the rights to specifically commissioned deliverables once full payment due has been received; and any open-source component remains subject to its own license.

User-Submitted Materials

If you send materials, briefs, concepts, assets, documents, prompts, data, images, text, or other information to Aidolverse Labs, you represent that you have the right to share them and grant Aidolverse LLC a non-exclusive, royalty-free, limited, and revocable license to the extent necessary to: evaluate the request; formulate a proposal; perform the contract, if concluded; and retain what is necessary for evidentiary, administrative, or compliance purposes.

We will not acquire any ownership of your materials except as otherwise agreed in writing.

Accounts and Restricted Areas

The aidolverselabs.com domain currently does not provide for the creation of public user accounts. If restricted areas, dashboards, or authenticated access are introduced on the Labs domain in the future, you will be required to safeguard your credentials and not allow their use by third parties.

Any accounts relating to external connected services or products are governed by the specific terms of those platforms.

External Links and Connected Services

The site may contain links to external sites, applications, registers, or products, including products connected to the Aidolverse ecosystem. Such environments are governed by their own terms, privacy policies, and cookie policies. Aidolverse Labs is not responsible for the content, practices, or availability of third-party sites, except within mandatory legal limits.

Prohibited Use

It is prohibited to use the site: in violation of laws or the rights of others; to transmit malware, harmful code, or intrusion attempts; to abuse the contact form, generate spam, or harass; to collect data from the site in an automated manner without authorization; or to impersonate Aidolverse Labs or another person/organization.

Disclaimer of Warranties and Limitation of Liability

To the maximum extent permitted by applicable law, the site is provided "as is" and "as available." Aidolverse LLC does not warrant that the site will always be available, uninterrupted, error-free, or suitable for the user's specific purposes.

Without prejudice to mandatory law: Aidolverse LLC is not liable for indirect, consequential damages, loss of profit, loss of opportunity, loss of data, or business interruption arising from the use or inability to use the site; Aidolverse LLC's total liability for use of the informational site alone, where legally applicable, is limited to the amount, if any, paid by the user to access the site in the relevant period, which is generally zero; for paid services, the liability limits set out in the applicable specific contract will apply.

Suspension or Termination

Aidolverse LLC may limit, suspend, or terminate access to the site, or refuse abusive, fraudulent, or unlawful requests, at any time and without notice, when necessary for technical, security, compliance, or rights-protection reasons.

Changes to These Terms

Aidolverse LLC may modify these Terms at any time. Changes take effect upon publication on the site, unless otherwise indicated. Continued use of the site after publication of changes constitutes acceptance of them.

Governing Law and Jurisdiction

Except as otherwise required by mandatory applicable law and except as otherwise agreed in a specific contract with the Client, these Terms are governed by the laws of the State of Wyoming, United States of America.

For any dispute relating to the site, the competent courts of Wyoming shall have exclusive jurisdiction, unless mandatory consumer-protection or jurisdiction rules require otherwise.

Language and Governing Version

The governing version of these Terms is the English version published on aidolverselabs.com. Any other language version is provided for convenience only; in case of discrepancy between language versions, the English version prevails.
